Terms of Service

1. Introduction

These Terms of Service ("Terms") govern the provision of freelance digital services by Ahmed Awad trading as Art 'n Glow ("Service Provider", "we", "us") to clients ("Client", "you"). By engaging our services — verbally, in writing, or by making payment — you agree to these Terms.

2. Services Provided

Art 'n Glow provides freelance digital services including but not limited to:

  • Full-stack web development and design
  • e-Commerce platform development
  • AI integration and LLM product development
  • Workflow automation (n8n and similar tools)
  • DevOps, infrastructure, and hosting setup
  • Digital strategy and AI business consulting
  • End-to-end digital venture launch services

The specific scope, deliverables, timeline, and payment terms for each engagement are agreed upon in writing (email, proposal, or signed statement of work) before work commences.

3. Freelance Portfolio Disclaimer

Projects featured on this website were undertaken as independent freelance work. They had zero conflict of interest with any organisations Ahmed Awad has been employed by. All client work was conducted in a private, freelance capacity during personal time, unless the client was the employing organisation.

4. Intellectual Property

Upon receipt of full payment, the Client receives full ownership of all custom code, designs, and deliverables created specifically for their project. This excludes:

  • Open-source libraries and frameworks used in the project (governed by their respective licences)
  • Third-party tools, APIs, or platforms integrated into the project
  • Any pre-existing code, templates, or utilities owned by Art 'n Glow prior to the engagement (unless explicitly agreed otherwise)

Art 'n Glow reserves the right to display completed work in its portfolio unless the Client explicitly requests confidentiality in writing.

5. Payment Terms

Payment terms are agreed per project. Standard terms are:

  • Deposit: 50% of the agreed project fee before work commences
  • Balance: Remaining 50% upon delivery of the final deliverables
  • Retainers: Invoiced monthly in advance
  • Currency: UAE Dirhams (AED) unless otherwise agreed

Late payments (beyond 14 days of invoice date) may incur a 2% monthly late fee and suspension of further work until the outstanding balance is settled.

6. Revisions and Scope Changes

Each project includes a reasonable number of revisions within the agreed scope. Changes that materially alter the project scope ("scope creep") will be quoted separately and require written approval before implementation.

7. Client Responsibilities

The Client agrees to:

  • Provide necessary content, assets, and access in a timely manner
  • Review and provide feedback within agreed timeframes
  • Ensure all content and materials provided are owned or licensed by the Client
  • Not use deliverables for unlawful purposes

Delays caused by the Client (e.g., delayed content, slow feedback, extended sign-off) may result in adjusted timelines and do not constitute a breach of our obligations.

8. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement. This includes business strategies, technical architectures, and financial information. This obligation survives the end of the engagement.

9. Limitation of Liability

Art 'n Glow's total liability for any claim arising from services provided shall not exceed the total fees paid by the Client for the relevant project. We are not liable for:

  • Indirect, consequential, or incidental damages
  • Loss of revenue, data, or business opportunities
  • Third-party service outages (hosting providers, payment gateways, APIs)
  • Issues arising from the Client's modification of delivered work

10. Termination

Either party may terminate an engagement with 14 days' written notice. In the event of termination, the Client is liable for fees covering work completed to the termination date, plus any non-recoverable costs already incurred.

If the Client terminates after a deposit has been paid but before substantial work has begun, a partial refund may be provided at our discretion.

11. AI-Generated Work

Art 'n Glow uses AI tools (including but not limited to large language models, code-generation tools, and automation platforms) to assist in delivering services. All AI-assisted output is reviewed, validated, and takes professional responsibility by Art 'n Glow before delivery. The use of AI tools does not alter ownership rights or reduce the quality standard of deliverables.

12. Governing Law

These Terms are governed by the laws of the United Arab Emirates. Any disputes shall be subject to the exclusive jurisdiction of the courts of the UAE, unless otherwise agreed in writing.

13. Changes to These Terms

We may update these Terms at any time. The "last updated" date reflects the most recent version. Continued engagement after a change constitutes acceptance of the revised Terms.
